1. Acceptance of Terms
By accessing, downloading, or using Auron's Expert Advisors (the "Software") and any associated services, documentation, or websites (collectively, the "Services"), you, the User, agree to be bound by the terms and provisions of this Agreement. If you do not agree to these terms, you may not use the Services. This Agreement constitutes a legally binding contract between Auron ("the Company") and the User. By clicking "I Agree," or by continuing to use the Services, you acknowledge that you have read, understood, and agreed to all terms, conditions, and notices contained or referenced in this Agreement.
2. License Agreement and Intellectual Property
Upon a valid purchase, the Company grants you a non-exclusive, non-transferable, and revocable license to use the Software on a maximum of three (3) trading accounts registered in your name. This license is for personal, non-commercial use only. The Software is licensed, not sold, and remains the exclusive property of the Company. All rights, title, and interest in and to the Software, including all intellectual property rights, trademarks, copyrights, and trade secrets, are and shall remain with the Company.
Prohibited Actions
You shall not, and shall not permit any third party to:
- Copy, reproduce, share, distribute, sell, or sublicense the Software
- Modify, adapt, translate, or create derivative works of the Software
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or trade secrets of the Software
- Use the Software on any trading accounts not registered to you or in excess of the three (3) account limit
3. Financial Risk Disclosures and Acknowledgment

Past Performance Disclaimer
Any backtesting results, historical performance data, or forward testing results shown are for educational and illustrative purposes only and do not guarantee, predict, or imply future performance.
Backtest vs Live Trading Discrepancies
You acknowledge that the performance of the Software in a live trading environment may differ significantly from its historical backtested performance due to factors including but not limited to:
- Slippage and Latency: The difference between the expected and actual trade price (slippage) and the delay between a trade signal and its execution (latency), which are influenced by market volatility, liquidity, physical distance from a server, and the broker's execution system
- Transaction Costs: Real-world trading costs such as spreads, commissions, and rollover fees, which are often not fully accounted for in backtesting simulations
- Data Quality: The integrity, accuracy, and completeness of historical data used for backtesting, which may not accurately reflect live market conditions
- Lack of Psychological Factors: The absence of human emotions in backtesting simulations, which can significantly impact a trader's live trading decisions
Additional Risk Factors
- Market Volatility and External Events: Market conditions can change rapidly and unexpectedly. Economic events, news releases, geopolitical factors, and shifts in liquidity can cause significant and unforeseen price movements that may render an automated strategy ineffective
- Leverage: The use of leverage can work against you as well as for you, magnifying both profits and losses
- Stop Losses: Stop losses do not guarantee protection against losses and may not be executed at the desired price during periods of high volatility or market gaps
4. User Responsibilities and Technical Requirements
You are solely responsible for all aspects of your trading, including risk management, capital allocation, and the technical environment in which the Software operates. You agree to the following obligations:

You MUST read the complete README-DOWNLOAD.txt file included with your download, which contains essential setup instructions and legal requirements for proper EA functionality.
Technical Environment
You are solely responsible for ensuring that your trading environment meets the minimum technical requirements:
- MetaTrader 4 or MetaTrader 5 Platform
- Stable Internet Connection: A wired (LAN) connection is strongly recommended over Wi-Fi for continuous, uninterrupted trading
- Operating System Compatibility: The software is designed for Windows operating systems
- VPS Requirement: You must use a Virtual Private Server (VPS) for 24/7 operation to ensure continuous uptime and minimize latency. The Company is not responsible for any losses resulting from interruptions due to power outages, system restarts, or internet connectivity problems on your personal computer
Security and Monitoring
- Account Security: You are solely responsible for the security, confidentiality, and integrity of your trading account, passwords, and all messages and data transmitted through the Services. The Company shall not be liable for any unauthorized access to your account
- Monitoring: You must regularly monitor the Software's performance, as automated trading does not eliminate the need for human oversight and intervention
- Contingency Plans: You must have contingency plans for system failures, internet outages, and other unforeseen events
5. Service Disclaimers and No Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES ABSOLUTELY NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH REGARD TO THE SOFTWARE, THE SERVICES, OR ANY RELATED TECHNICAL SUPPORT. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
The Company makes no guarantees of the Software's performance, profitability, or continuous, uninterrupted operation. The Software may be inaccessible or inoperable for a variety of reasons, including, without limitation, equipment malfunctions, software issues, periodic maintenance, or causes beyond the Company's control.
6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AURON AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, DIMINUTION IN VALUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE OR SERVICES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation of liability applies regardless of the legal theory, whether in contract, tort, strict liability, or otherwise, and applies to damages resulting from:
- Trading losses or reduced profits
- System failures, technical issues, or software malfunctions
- Internet connectivity problems or server outages
- Broker platform issues, including execution delays or slippage
- Adverse market volatility or unforeseen price movements
7. Refund Policy
30-Day Money-Back Guarantee
We offer a 30-day money-back guarantee for unactivated licenses only. Once a license is activated and linked to a trading account, no refunds will be provided, as the software is a digital good that cannot be returned or de-activated. Technical support is available for setup and configuration issues.
8. Updates and Support
Free updates for the Software are provided for the duration of your license. The Company reserves the right to change, modify, or discontinue features of the Software at its sole discretion. Email support is available for technical issues with a response time of up to 24 hours. Community forum access is included with your purchase. The Company makes no warranties regarding the quality or availability of technical support services.
9. Prohibited Uses
You agree not to engage in, facilitate, or encourage any of the following unacceptable uses of the Software or Services, including but not limited to:
- Sharing, distributing, or reselling the Software or its license
- Modifying, reverse engineering, or attempting to decompile the code
- Using the Software on unauthorized trading accounts
- Automated trading without proper monitoring
- Trading with money you cannot afford to lose
- Creating a false identity or misleading others as to your identity
- Disseminating, storing, or transmitting abusive, obscene, defamatory, or malicious content
- Interfering with or disrupting other users' access to the Services
10. Privacy Policy
This Terms of Service is separate from and does not replace the Company's Privacy Policy. We are committed to protecting your personal data and handle it in accordance with applicable international data protection laws. By using the Services, you acknowledge that you have read and understood our Privacy Policy, which details how we collect, process, and use your personal data.
11. Dispute Resolution and Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in [Your Jurisdiction], and the parties hereby consent to the personal jurisdiction and venue therein. Before initiating any formal legal action, the parties agree to first attempt to resolve any dispute informally.
12. Termination
The Company may terminate this Agreement and your license at its sole discretion, with or without notice, if you breach any provision of this Agreement, including but not limited to non-payment or engaging in any prohibited use. Upon termination, you must immediately cease all use of the Software and delete all copies of the Software from your systems and devices.
